Equity investment in property for purely investment purposes is done by use of “shell entities” where legal entities have been formed for investment in real estate as the main objective and the equity investors take up shares in the Special Purpose Vehicle (SPV). The investors can be business associates, friends and relatives, purchasing the shares of the SPV.

Practical Tip:

Equity finance can include informal arrangements (not on legally fool-proof grounds, but often happens in practice) – say, an individual may buy a property in his own name with some finances from a close relative and an agreement to share the profits at the time of sale. Some of these may be termed as investments with a fronting or called ‘benaami’ investments in India. This too is a form of equity investment!
